    1. Introduction

    Undervalued Exchange, doing business as UndervaluedX ("Company," "we," "us," or "our"), operates the Platform at UndervaluedX.com. This Privacy Policy explains how we collect, use, disclose, and protect information relating to Buyers who register and use our Platform, as well as personal data relating to third-party property owners and representatives ("Sellers") that appears within Lead records.

    By using the Platform, you acknowledge that you have read and understood this Privacy Policy. If you do not agree with this Policy, please do not use the Platform.

    This Privacy Policy does not apply to third-party websites or services linked from the Platform. We encourage you to review the privacy policies of any third parties with whom you interact.

    2. Information We Collect

    2.1 Information Collected from Buyers

    When you register for an account or use the Platform, we collect the following categories of personal information:

    • Identity Information: first name, last name, company name.
    • Contact Information: email address, phone number, company mailing address.
    • Payment Information: credit card details and billing information, processed and stored securely by our payment processor, Stripe, Inc. We do not store full card numbers on our systems.
    • Account and Transaction Data: bidding history, Lead purchase history, Auto-Bid criteria, account balance history, and dispute records.
    • Technical Data: IP address, browser type and version, device identifiers, operating system, referring URLs, pages visited, and time spent on Platform pages.
    • Usage Data: interactions with Platform features, search activity, and session data.

    2.2 Information Contained in Lead Records (Seller Data)

    Lead records purchased through the Platform contain personal data of Sellers, which may include:

    • Full name of property owner or authorized representative.
    • Property address.
    • Telephone number.
    • Additional contact information sourced from third-party data providers.

    This Seller data is sourced exclusively from third-party data providers and marketing agencies. The Company does not collect Seller data directly from Sellers via the Platform. The Company's data providers are contractually required to have obtained appropriate consents and to have collected this data in compliance with applicable law, including the Telephone Consumer Protection Act (TCPA).

    When a Buyer purchases a Lead, the Seller's personal data contained in that Lead is transferred to the Buyer for the Buyer's independent use. Once transferred, the Buyer is responsible for handling that data in compliance with all applicable laws.

    2.3 Cookies and Tracking Technologies

    We use cookies and similar tracking technologies for purposes beyond basic session management, including to improve your experience, analyze usage, and deliver targeted advertising. For more detail, see Section 6 (Cookies).

    3. How We Use Your Information

    We use the information we collect for the following purposes:

    • To create and manage your Buyer account.
    • To facilitate Lead auctions, Auto-Bid processing, and Lead delivery.
    • To process payments through Stripe and manage your Account Balance.
    • To verify your identity and prevent fraud.
    • To respond to your inquiries, support requests, and dispute submissions.
    • To send transactional communications (purchase confirmations, dispute updates, account notifications). These communications are required for use of the Platform and cannot be opted out of while your account is active.
    • To send marketing communications, promotional offers, and Platform updates, subject to your opt-in consent.
    • To improve the Platform's features, performance, and user experience through analytics.
    • To deliver targeted advertising on and off the Platform through third-party advertising partners.
    • To comply with applicable legal obligations.
    • To enforce our Buyer Terms of Service and protect the Company's rights and interests.

    4. How We Share Your Information

    We do not sell your personal information to third parties in the traditional sense. However, we do share your information in the following circumstances:

    4.1 Payment Processing

    We share payment information with Stripe, Inc. for payment processing purposes. Stripe's privacy policy is available at stripe.com/privacy.

    4.2 Analytics and Marketing Partners

    We share data with the following third-party analytics and advertising platforms to analyze Platform usage, measure advertising performance, and deliver retargeted advertising:

    • Google Analytics and Google Ads (Google LLC) — website analytics and advertising.
    • Meta Pixel (Meta Platforms, Inc.) — advertising measurement and retargeting.
    • AppLovin Pixel (AppLovin Corporation) — advertising measurement and performance marketing.
    • Everflow Technologies Inc. — affiliate and referral source tracking.
    • TikTok Pixel (TikTok Inc.) — advertising measurement and retargeting on TikTok platforms.

    These partners may receive data including your IP address, device identifiers, browsing behavior on the Platform, and transaction events for advertising measurement and optimization purposes. Each partner's use of data is governed by their own privacy policies.

    4.3 Legal Compliance and Protection

    We may disclose information when required by law, regulation, subpoena, court order, or governmental authority, or when we believe disclosure is necessary to protect the rights, property, or safety of the Company, our users, or others.

    4.4 Business Transfers

    In connection with a merger, acquisition, sale of assets, or other corporate transaction, your information may be transferred to the successor entity. We will provide notice before your personal information is transferred and becomes subject to a different privacy policy.

    4.5 With Your Consent

    We may share your information for any other purpose with your explicit prior consent.

    5. Data Retention

    We retain personal information for as long as necessary to fulfill the purposes for which it was collected, comply with legal obligations, resolve disputes, and enforce our agreements. Our standard retention periods are:

    • Active account data: retained for the duration of the account relationship.
    • Buyer account data following account closure: retained for three (3) years from the date of closure for purposes of dispute resolution, legal compliance, and fraud prevention.
    • Payment and transaction records: retained for seven (7) years to comply with applicable tax and financial record-keeping requirements.
    • Lead records (Seller data): retained in our internal records for three (3) years from the date of sale.
    • Marketing and analytics data: retained in accordance with the applicable third-party platform's retention policies.

    After the applicable retention period, personal data is securely deleted or anonymized.

    6. Cookies and Tracking Technologies

    6.1 Types of Cookies We Use

    We use the following categories of cookies on the Platform:

    • Strictly Necessary Cookies: required for the Platform to function, including session management and authentication. These cannot be disabled.
    • Performance and Analytics Cookies: used to collect information about how visitors use the Platform, including pages visited and errors encountered (e.g., Google Analytics).
    • Functionality Cookies: used to remember your preferences and settings to improve your experience.
    • Targeting and Advertising Cookies: used by our advertising partners (Meta, Google, AppLovin, TikTok) to build profiles of your interests and display relevant advertising on and off the Platform.

    6.2 Managing Cookies

    You may manage or disable non-essential cookies through your browser settings or through any cookie preference mechanism provided on the Platform. Please note that disabling cookies may affect the functionality of the Platform. Opting out of advertising cookies will not remove advertising from the Platform but may make advertising less relevant to you.

    7. Your Rights — California Residents (CCPA)

    If you are a California resident, you have the following rights under the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA):

    • Right to Know: you have the right to request disclosure of the categories and specific pieces of personal information we have collected about you, the categories of sources, the business purpose for collection, and the categories of third parties with whom we share it.
    • Right to Delete: you have the right to request deletion of personal information we have collected from you, subject to certain exceptions.
    • Right to Correct: you have the right to request correction of inaccurate personal information we hold about you.
    • Right to Opt-Out of Sale or Sharing: while we do not sell personal information in the traditional sense, we do share certain data with advertising partners for cross-context behavioral advertising. You may opt out of this sharing by contacting us at contact@undervaluedx.com or by using the opt-out mechanism on the Platform.
    • Right to Limit Use of Sensitive Personal Information: to the extent we process sensitive personal information as defined under CPRA, you have the right to limit our use of such information.
    • Right to Non-Discrimination: we will not discriminate against you for exercising any of your CCPA rights.

    To exercise your California rights, submit a verifiable consumer request to contact@undervaluedx.com. We will respond within forty-five (45) days, with an extension of an additional forty-five (45) days where reasonably necessary.

    We do not knowingly sell or share the personal information of minors under the age of 18.

    8. Marketing Communications

    We will send you marketing and promotional communications only with your prior opt-in consent. You may withdraw your consent and opt out of marketing emails at any time by: (a) clicking the unsubscribe link in any marketing email; or (b) contacting us at contact@undervaluedx.com. Opting out of marketing communications will not affect transactional communications related to your account.

    9. Data Security

    We implement industry-standard technical and organizational measures to protect your personal information against unauthorized access, loss, misuse, or alteration. Payment data is handled by Stripe, which maintains PCI DSS compliance. However, no method of transmission over the internet or electronic storage is 100% secure. We cannot guarantee absolute security and encourage you to use strong passwords and protect your account credentials.

    10. Children's Privacy

    The Platform is intended for users who are at least eighteen (18) years of age. We do not knowingly collect personal information from individuals under 18. If we become aware that we have inadvertently collected personal information from a minor, we will promptly delete it.     11. Third-Party Links

    The Platform may contain links to third-party websites or services. This Privacy Policy does not apply to those third-party sites. We encourage you to review the privacy policies of any third-party sites you visit.

    12. Changes to This Privacy Policy

    We reserve the right to update this Privacy Policy at any time. Material changes will be communicated to registered Buyers via email and/or a prominent notice on the Platform at least fourteen (14) days before taking effect. Your continued use of the Platform after the effective date of any change constitutes your acceptance of the updated Privacy Policy. We encourage you to review this Policy periodically.
